Terms and Conditions

Welcome to Amplify Revenues ("Amplify Revenues," "we," "our," or "us"). These Terms & Conditions ("Agreement") govern the use of our services, software, websites, automations, artificial intelligence systems, customer relationship management (CRM) platforms, consulting, and related business solutions. By purchasing or using any of our services, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Services

Amplify Revenues provides business growth and operational improvement services including, but not limited to:

  • CRM setup and customization
  • AI chatbots and AI assistants
  • Lead management systems
  • Sales pipeline implementation
  • Website design and development
  • Appointment booking systems
  • Workflow automation
  • Email and SMS automation
  • Customer follow-up systems
  • Business process consulting
  • Reporting dashboards
  • Revenue optimization consulting
  • Ongoing support and maintenance (when included)

Services are customized for each client and are described within the signed proposal, invoice, or service agreement.

2. No Guarantee of Results

While our goal is to improve your operational efficiency, customer experience, and revenue, Amplify Revenues does not guarantee:

  • Increased revenue
  • Increased profits
  • Specific sales numbers
  • Lead volume
  • Appointment volume
  • Customer retention
  • Return on investment (ROI)

Business performance depends on numerous factors outside our control including pricing, competition, staffing, customer service, sales ability, seasonality, market conditions, and client implementation.

3. Client Responsibilities

The Client is responsible for providing accurate business information, timely feedback, required approvals, brand assets, access credentials, and any content necessary for Amplify Revenues to deliver services.

Delays caused by the Client may impact project timelines.

4. Third-Party Tools

Our services rely on third-party software, platforms, and integrations.

Their availability, features, and prices may change.

Amplify Revenues is not responsible for downtime caused by external providers.

The Client agrees to comply with all third-party terms of service.

5. Ownership

Unless otherwise agreed in writing:

The Client owns:

  • Their customer data
  • Business information
  • Branding
  • Logos
  • Written content supplied by the Client

Amplify Revenues retains ownership of:

  • Internal systems
  • Templates
  • Automation frameworks
  • Workflows
  • Proprietary processes
  • Scripts
  • Standard operating procedures
  • Internal documentation
  • Intellectual property developed prior to the engagement

Upon full payment, custom work created specifically for the Client becomes the Client's property unless otherwise stated.

6. Payment Terms

Invoices are due according to the agreed payment schedule.

Late payments may result in:

  • Suspension of services
  • Suspension of CRM access
  • Suspension of automations
  • Suspension of hosting
  • Suspension of support

Accounts more than thirty (30) days past due may incur late fees as permitted by law.

The Client remains responsible for all outstanding balances.

7. Subscription Services

Certain services operate on a recurring monthly subscription.

Subscriptions continue until cancelled according to the applicable agreement.

Cancellation does not eliminate responsibility for outstanding invoices.

8. Refund Policy

Because our services involve custom consulting, implementation, software configuration, and digital work, all payments are non-refundable once work has begun.

Refunds are provided only when required by applicable law.

9. Confidentiality

Both parties agree to keep confidential information private.

Confidential information includes:

  • Customer lists
  • Pricing
  • Business strategies
  • Sales processes
  • Login credentials
  • Financial information
  • Proprietary systems

Confidential information shall not be disclosed except as required by law.

10. Data Security

We implement commercially reasonable security measures.

However, no online system is completely secure.

The Client understands and accepts the inherent risks of internet-based services.

11. Artificial Intelligence

Certain services utilize artificial intelligence technologies.

AI-generated content may:

  • Require human review
  • Occasionally produce inaccurate information
  • Require editing
  • Change as technology evolves

The Client is responsible for reviewing AI-generated outputs before relying upon or publishing them.

12. Acceptable Use

Clients agree not to use our services to:

  • Violate laws
  • Send spam
  • Commit fraud
  • Infringe intellectual property rights
  • Harass others
  • Distribute malware
  • Engage in illegal marketing practices

Amplify Revenues may suspend services for violations.

13. Limitation of Liability

To the fullest extent permitted by law, Amplify Revenues shall not be liable for:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Punitive damages

Our total liability shall not exceed the amount paid by the Client during the previous three (3) months.

14. Indemnification

The Client agrees to indemnify and hold harmless Amplify Revenues from claims arising out of:

  • Client negligence
  • Client misuse of services
  • Client violations of law
  • Client marketing practices
  • Client data
  • Client business operations

15. Service Availability

Although we strive for maximum uptime, uninterrupted availability cannot be guaranteed.

Maintenance, software updates, internet outages, or third-party failures may temporarily affect service availability.

16. Termination

Either party may terminate services according to the applicable service agreement.

Upon termination:

  • Outstanding invoices remain due.
  • Access to subscription services may end.
  • Certain hosted systems may be removed after thirty (30) days unless otherwise agreed.

17. Intellectual Property

All trademarks, logos, branding, documentation, software, automation frameworks, and proprietary methods owned by Amplify Revenues remain our exclusive property.

Nothing in this Agreement transfers ownership of our intellectual property.

18. Force Majeure

Neither party shall be liable for delays caused by events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Internet outages
  • Cybersecurity incidents
  • Labor disputes
  • Acts of war
  • Pandemics

19. Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Texas.

20. Changes to These Terms

Amplify Revenues reserves the right to update these Terms & Conditions at any time.

Updated versions become effective upon publication or written notice to the Client.

21. Entire Agreement

These Terms, together with any signed proposal, invoice, service agreement, or Statement of Work, constitute the entire agreement between the parties.

22. SMS Messaging Terms

By providing your mobile phone number and opting in to receive text messages from Amplify Revenues, you expressly consent to receive SMS and MMS communications related to our services.

SMS Program Description

Our SMS program may include messages regarding:

  • Appointment scheduling and reminders
  • Meeting confirmations
  • Project updates
  • Account notifications
  • Customer support communications
  • Service-related alerts
  • Marketing and promotional offers (where you have provided consent)
  • Follow-up regarding inquiries or requested information

Message frequency may vary depending on your interactions with Amplify Revenues and the services you request.

Consent

Providing your phone number and opting into SMS communications signifies your agreement to receive recurring text messages from Amplify Revenues. Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Opt-Out Instructions

You may opt out of receiving SMS messages at any time by replying: STOP

After you send "STOP," you will receive one final confirmation message confirming that you have been unsubscribed. No further marketing messages will be sent unless you opt in again.

Message and Data Rates

Message and data rates may apply depending on your wireless carrier and mobile service plan.

Amplify Revenues is not responsible for any charges imposed by your mobile carrier.

Supported Carriers

SMS services are supported by most major U.S. wireless carriers. Delivery times may vary based on your carrier and network availability.

Carrier Liability Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Amplify Revenues makes reasonable efforts to deliver SMS communications but cannot guarantee message delivery or timing.

Eligibility

Our SMS services are intended only for individuals who are at least eighteen (18) years of age.

By opting into SMS communications, you represent and warrant that you are at least 18 years old and are the authorized user of the mobile phone number provided.

Privacy

Information collected through our SMS program is handled in accordance with our Privacy Policy.

Changes to SMS Terms

Amplify Revenues reserves the right to modify or discontinue its SMS messaging program at any time without prior notice. Continued participation in the SMS program following any updates constitutes acceptance of the revised terms.
